The Memorandum of Association and the Rules of Association represent the organizational boundaries which we established for our co-operative at the time of incorporation. The policies of our co-op serve to represent the Rules and detail how exactly the different aspects of the organization will work. The rights and responsibilities of the membership and the directors are outlined in the Rules and policies of the co-operative.

Rights & Responsibilities of Co-op Members
Responsibilities
Co-op members should inform themselves about:
- the purpose of the co-op.
- the issues that the co-op aims to address.
- the challenges facing the co-op.
- the work being undertaken by the co-op.
- the skills and knowledge needed in the co-op.
- their opportunities to contribute to the life of the co-op.
- the relevant characteristics and experience of candidates for the Board.
Co-op members should:
- subscribe to at least one membership share.
- contribute effort, wisdom, resources to the co-op.
Rights
Co-op members have a right to:
- Use the services of the co-op.
- Contribute effort, wisdom, resources to the co-op.
- Receive a manually signed Membership Share Certificate.
- Receive 2 weeks’ notice of a General Meeting.
- Vote for the Board of Directors.
Responsibilities and Rights of Co-op Directors
Responsibilities
Co-op Directors shall:
- Govern the Association in accordance with the responsibilities, duties and powers set out in the Cooperative Associations Act of British Columbia and the Rules of the Co-operative.
- With the guidance of members, develop policies and practices for the governance and management of the co-op.
- Act in accordance with the basic principles of good faith, stewardship and accountability.
- Consider applications for membership.
- Reveal any actual or probable conflicts of interest.
The President, Vice-president, Secretary and Treasurer, and any other officers shall
- Exercise the powers, duties and responsibilities in accordance with the Act.
